Mahanadi Coalfields IPO clears review as parent plans stake sale

Mahanadi Coalfields IPO clears review as parent plans stake sale

India’s securities regulator has cleared a proposed initial public offering of Mahanadi Coalfields, bringing a major state-owned coal producer a step closer to a stock market listing.

The Securities and Exchange Board of India issued its final observations on the company’s draft offer documents on 4 November. The review is a regulatory milestone, not a guarantee that the sale will be completed or an endorsement of the shares as an investment.

Under the draft plan, parent company Coal India would offer up to 661,836,300 existing shares, equivalent to about 10 per cent of Mahanadi Coalfields. The subsidiary, which operates primarily in the eastern state of Odisha, is currently wholly owned by Coal India.

The offer is structured entirely as a sale of existing shares rather than an issue of new ones. Mahanadi Coalfields says it would not receive the proceeds. Instead, the selling shareholder would receive them after relevant expenses and taxes.

What the proposed sale would change

An initial public offering would allow investors to buy shares in a business that is not currently traded on a public market. If the full proposed stake were sold, Coal India would remain the majority owner, while a minority of the subsidiary’s shares would be held by other investors.

Mahanadi Coalfields proposes listing the shares on India’s two principal stock exchanges and says it expects a listing to create a public market for them. A listing would not guarantee active trading or a particular share price.

Mahanadi Coalfields left the offer price and opening date blank in its draft, and the terms could change before a sale. The number of shares set out in the draft is a maximum, not a record of shares already sold. The value raised will depend on the final terms and the outcome of any offering.

On 23 March 2026, Coal India’s board gave in-principle approval for a broader divestment of up to 25 per cent of its holding in Mahanadi Coalfields, potentially in more than one tranche. That decision is separate from the current draft offering, which provides for a sale of up to 10 per cent.

A large supplier to India’s power sector

Mahanadi Coalfields says it produced 218.31 million tonnes of coal in the financial year to 31 March 2026, accounting for 21 per cent of India’s domestic coal production and 28.4 per cent of Coal India’s output in that period.

Its main product is non-coking coal. Customers include power utilities and industrial businesses such as cement and sponge iron producers. The company says it sells its coal within India.

Sales to the thermal power sector represented 68.62 per cent of its product sales in the 2026 financial year. The company identified dependence on that sector as a risk, saying adverse changes affecting power producers could also affect its own business.

Its largest customers are important to its finances. The top five accounted for 41.09 per cent of revenue from operations in the same financial year. Mahanadi Coalfields cautions that its coal resource and reserve figures are estimates and actual amounts may differ.

Mahanadi Coalfields says its restated consolidated revenue from operations was approximately 305.5 billion rupees for the year to March 2026, down from 313.5 billion rupees a year earlier. Restated profit after tax was about 107.0 billion rupees, compared with 108.3 billion rupees in the preceding year.

The proposed transaction would change the ownership of part of a business at the centre of India’s coal supply, but it would not itself add new capital to the subsidiary. The regulatory review and draft offer terms are steps in a process, rather than a completed sale or a guarantee of a listing.
