Panther Metals has announced a planned £2.22 million private placement using Canadian flow-through shares, a structure the London-listed explorer says will fund its exploration programme for the coming year if the transaction completes.
The company said it has agreed to issue 980,398 units at £2.26 each, equivalent to CAD$4.158 million. Each unit would contain one ordinary share and half of one ordinary-share purchase warrant. A whole warrant would allow its holder to subscribe for a further ordinary share at £2.67 during the 36 months following completion. The proposed issue price is 24% above Panther’s closing share price on 7 October, a comparison supplied in the company’s announcement rather than a prediction of future market performance.
The placing is expected to close on or around 16 October, subject to customary conditions and regulatory approvals. Panther said it would apply for the new ordinary shares to be admitted to trading on the Main Market of the London Stock Exchange at 8am London time that day. If admission takes place, the company expects its issued share capital to comprise 12,170,236 ordinary shares, each carrying one vote. The shares would rank equally with the existing ordinary shares.
The transaction uses a Canadian funding mechanism in which a company agrees to incur eligible exploration expenditure and renounce that expenditure to the initial investors. Panther said the relevant shares are ordinary shares rather than a separate corporate-law class. Subject to the applicable Canadian rules being met, the initial subscribers may deduct their proportionate share of the renounced qualifying expenditure for Canadian income-tax purposes. The company said the tax benefits are restricted to the initial subscribers and do not pass to later purchasers of the shares.
Panther has said the gross proceeds are restricted to qualifying Canadian exploration expenditure and are not intended for working capital. It plans to use them principally to continue Phase 1 diamond drilling at the Wishbone volcanogenic massive sulphide prospect on its Obonga project in north-west Ontario into 2027. The company has described the funding as sufficient for its planned exploration requirements over the next 12 months, which remains a corporate expectation rather than an achieved outcome.
The proposed structure also involves a cross-border sequence. PearTree Securities, a Canadian exempt-market dealer, is to facilitate the flow-through placing with institutional, professional and sophisticated investors. Panther said SI Capital would act as UK placing agent and, after completion, would facilitate a secondary sale of the units to selected UK and US institutional investors under a block-trade arrangement. The company said no fee or commission would be payable by it to PearTree for its role in the Canadian placing.
For a company whose ordinary shares trade in London but whose projects are in Canada, the arrangement joins a UK-listed issuer to a Canadian tax-linked exploration finance route. The announcement also says the financing is expected to satisfy one of the remaining steps on Panther’s route towards a Canadian Securities Exchange listing. That prospective listing, like the placing and admission, is contingent rather than complete.
The disclosure is a capital-raising update, not an invitation to retail investors. Panther stated that the proposed placing was directed at specified institutional, professional and sophisticated investors, with distribution restrictions in several jurisdictions. The important near-term milestones are therefore the receipt of required approvals, the planned closing and the anticipated admission of the new shares. Until those occur, the number of shares, warrants and proceeds described by the company should be treated as proposed transaction terms.
